Memery Crystal advises on the restructuring of Tethyan Resources plc

Under the scheme of arrangement, Tethyan Resource Corp. (“Tethyan Canada”), a newly incorporated Canadian company, purchased all the shares in Tethyan UK.

Prior to the restructure, the shares in Tethyan UK, a company engaged in exploration for gold, copper-gold and other minerals, were listed on the TSX-V, a Toronto stock exchange. Tethyan UK is now a wholly owned subsidiary of Tethyan Canada following the sanction of the scheme of arrangement by the High Court in the UK.
